1. Services Offered 1.1 The BPO Manila company ("Company") offers a range of outsourcing services including but not limited to customer support, technical support, data entry, content moderation, and back-office operations. 1.2 The services provided by the Company will be outlined in the Service Level Agreement (SLA) agreed upon with the client.
2. Client Responsibilities 2.1 The client must provide accurate and complete information necessary for the provision of services. 2.2 The client is responsible for ensuring compliance with all relevant laws and regulations in their jurisdiction.
3. Confidentiality 3.1 The Company agrees to maintain the confidentiality of all client information, including but not limited to business strategies, customer data, and proprietary information. 3.2 Confidential information will not be disclosed to third parties without the client's consent, except as required by law.
4. Payment 4.1 Payment terms will be specified in the contract or agreement between the Company and the client. 4.2 Invoices must be paid by the due date to avoid any penalties or service disruptions.
5. Data Security 5.1 The Company will implement reasonable measures to protect client data and prevent unauthorized access or disclosure. 5.2 The client acknowledges that no data transmission over the internet is completely secure, and the Company cannot guarantee the security of data during transmission.
6. Intellectual Property 6.1 Any intellectual property developed or used in the provision of services remains the property of the respective parties. 6.2 The client grants the Company a license to use their intellectual property solely for the purpose of providing services.
7. Termination 7.1 Either party may terminate the agreement with prior written notice and adherence to any termination clauses outlined in the contract. 7.2 Upon termination, both parties must return any confidential information and intellectual property belonging to the other party.
8. Limitation of Liability 8.1 The Company will not be liable for any indirect, incidental, or consequential damages arising from the provision of services. 8.2 The total liability of the Company, if any, shall not exceed the total fees paid by the client in the preceding twelve (12) months.
9. Governing Law 9.1 This agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines. 9.2 Any disputes arising from this agreement shall be resolved through arbitration in Manila, Philippines.
10. Miscellaneous 10.1 Any amendments or modifications to this agreement must be made in writing and signed by both parties. 10.2 This agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral.
